    Dr. Ami de Chapeaurouge

    Mr. de Chapeaurouge is a partner in the corporate law firm DE CHAPEAUROUGE+ PARTNERS , with offices in Frankfurt, Hamburg, London and New York; and is admitted to practice in Frankfurt and New York, with German law degrees from Frankfurt University, and further degrees from Columbia Law School (LL.M.) and Harvard Law School (S.J.D.).


    Mr. de Chapeaurouge practiced for 20 years with respected firms (Skadden Arps, Jones Day, and Germany's Wessing) in Paris, New York, Chicago and Frankfurt – in the later stages as Corporate Finance and Banking Department head - before establishing a Practice of his own in 2005.


    He is concentrating on corporate and transactional matters such as Corporate Governance, shareholder activism, securities, non-consensual and negotiated mergers and acquisitions, private equity, corporate finance, (cross-border) capital markets, commercial lending, business reorganization, restructurings and workouts - from a distinct client life- and business-cycle vantage point; he remains current in the respective German and U.S. corporate practices, and also follows UK legal developments; he serves as trusted counsel to Governments and their sub-divisions, multilateral agencies, technology companies, public and private corporations and other entities, family offices, financial institutions, asset managers, trading houses; and investment groups (venture capital, private equity, and hedge funds).

    Ms. Aneliya Crawford

    Aneliya S. Crawford is a partner at Schulte Roth & Zabel. She represents hedge funds and other large investors in matters concerning shareholder activism, proxy contests, hostile takeovers, corporate governance, and mergers and acquisitions. Aneliya is one of the leading attorneys representing activist investors globally with close to 200 major shareholder activism contests, including campaigns in the United States, United Kingdom, Canada, Australia and Latin America. Aneliya has extensive experience providing strategic guidance to investors on activist strategies, including proxy contests, settlement negotiations, corporate governance, consent solicitations, letter-writing campaigns, hostile takeovers and M&A transactions. She provides counsel to clients on their equity investments in public companies, and represents public and private companies in mergers and acquisitions and asset purchase and stock purchase transactions. Aneliya has been named to Crain's New York Business 40 Under 40 Class of 2018 and was also named a New York "Rising Star" by Super Lawyers magazine each year since 2014 for her shareholder activism and M&A practice. Most recently, Aneliya represented Trian Fund Management in the largest proxy contest to date. The successful campaign sought the addition of Trian CEO and founding partner Nelson Peltz to the Board of Directors of Procter & Gamble.

    Mr. Amar Gill

    Amar Gill is Managing Director and APAC Head of Investment Stewardship for BlackRock. He worked for 22+ years with a leading regional securities company, CLSA, an industry leader for independent equities research. Gill was Head of Research for Malaysia, subsequently Hong Kong, was regional head for thematic research and thereafter appointed Head of Asia Research. He had a stint in investment banking at CLSA before joining BlackRock in September 2018.


    Gill has been a pioneer in corporate governance research, writing nine regional reports over 2001 to 2014 for CLSA working in collaboration with the Asian Corporate Governance Association (ACGA). Representing CLSA, Gill has been a council member of ACGA over 2005-08.


    After graduating with First Class Honours in Philosophy, Politics and Economics, Gill did a Masters course in Philosophy majoring in Ethics also at Oxford University, England. He was awarded the CFA, and earlier worked in foreign exchange with Chemical Bank in Singapore (subsequently acquired by Chase Manhattan) before starting his career in equities research. He is a member of the Asia advisory group of the Young Investors Society in Hong Kong.

    Mr. Warren Lee

    Mr. Warren Lee, aged 55, is a founder and the managing director of Yu Ming Investment Management Limited ("Yu Ming") and the Chairman of SHK Hong Kong Industries Limited ("666"). He has been a director of Yu Ming since August 1996, and worked for Sun Hung Kai International Limited between 1992 and 1997, and ABN Amro Bank N.V. between 1988 and 1992.

     

    Mr. Lee is licensed to carry out type 1, 4, 6 and 9 regulated activities under the Securities and Futures Ordinance, and is active in advising corporate finance transactions involving Hong Kong listed companies. He has advised well over 400 corporate finance transactions since 1992, some of which complex and difficult, and some even controversial, with a few leading to the change of the Takeovers Code. Mr. Lee started advising hostile situations and shareholders activism in 2001, and is one of the few financial advisers in Hong Kong specialized in that area of practice.

     

    Mr. Lee graduated with a Bachelor of Science Degree from The University of East Anglia in England in 1986 and obtained a distinction in Master of Science Degree from The City University Business School in London in 1988.

    Mr. Michael Popkin

    Michael is a counsel in Campbells' Litigation, Insolvency & Restructuring Group, based in the firm's Hong Kong office. He worked previously in Campbells' Cayman Islands office and is admitted in New York, New South Wales and the Cayman Islands. Prior to moving offshore, Michael worked for 14 years with a leading firm in Sydney, Australia and for 10 years with law firms in multiple jurisdictions in Southeast Asia.


    Michael has over 20 years of experience advising clients in complex cross-border corporate and shareholder disputes, on contentious and non-contentious aspects of distressed assets and special situations and on restructuring and insolvency issues. His recent clients have included both private equity and hedge fund managers and investors, insolvency practitioners in Hong Kong, the Cayman Islands and the British Virgin Islands and high net worth individuals in multiple jurisdictions.


    Michael is an advisory council member of PeopleStories Foundation, a non-profit organization working to provide greater access to education to students in rural Cambodia.

    Mr. Ian Mann

    Ian Mann is our Asia managing partner and the long-term head of our Litigation and Restructuring practice group in Hong Kong. He is a leading offshore litigator, senior tactician and thought leader.

     

    Ian specialises in restructuring, insolvency, shareholders' disputes and contentious trusts. He is an experienced advocate and continues to appear in Court regularly. He has been involved in every major recent restructuring in the region involving offshore entities. Ian is also a specialist in cross-border and conflict of laws dilemmas. He regularly appears on behalf of elite families and is usually retained on a long-term basis for strategic global offshore litigation advice. 

    Ian lectures regularly to judicial, professional and academic bodies. He is the author of both of the leading offshore textbooks on British Virgin Islands Commercial Law and Bermuda Commercial Law and is a contributor to The Offshore Litigation Blog. Ian is also a Fellow of INSOL International and a qualified Trusts and Estates Practitioner. He is regularly asked to provide expert opinion on offshore law to various Courts of Law.

     

    Ian is a member of the INSOL Technical Research Committee, the Inter-Pacific Bar Association, the American Bankruptcy Institute, the International Insolvency Institute and Harneys Listco Dispute Unit.

    Mr. Oliver Payne

    Oliver's practice spans all aspects of general commercial and investment funds litigation. His practice includes complex, high value shareholder and banking disputes, cross-border insolvency, and breaches of directors and trustees' duties. He also has experience advising on LCIA and ICC arbitrations.

     


    Oliver has appeared numerous times before the Financial Services Division of the Grand Court of the Cayman Islands and regularly works with or against silks from some of the top London sets.



    His recent work has included acting for a large financial institution involved in multi-billion dollar Cayman insolvency proceedings, and advising creditors, shareholders and liquidators in a number of Cayman insolvencies. Oliver has also been heavily engaged in a number of Cayman cases involving shareholder dissent rights.


    Prior to joining Ogier 10 years ago, Oliver was a solicitor at Herbert Smith. Whilst at Herbert Smith, Oliver worked in Hong Kong and undertook secondments to UBS and Credit Suisse.


    He obtained his Bachelor of Laws (with Honours) from the University of Bristol in 2001 and completed the Legal Practice Course in Oxford in 2002.

    Mr. Dominic Wai

    Before joining the legal profession, Dominic has worked in the banking sector and as well as in the Independent Commission Against Corruption (ICAC).


    Dominic's practice focuses on advising clients on matters relating to anti-corruption, white-collar crime, law enforcement, regulatory and compliance matters in Hong Kong, including advice on anti-money laundering. He also handles cases involving corporate litigation, shareholders' disputes and insolvency matters, defamation cases, domestic and international arbitration cases, cybersecurity, data security and privacy law issues, competition law matters, e-Discovery and forensic investigation issues as well as property litigation.


    Dominic is currently a board member of a charity that provides a home service for sick children and their families. He is supportive and actively participating in the activities of the charity


    Mr. David Webb

    A Hong Kong resident since 1991, former investment banker David Webb retired in 1998 to focus on his investments and establish Webb-site.com, a non-profit platform for better corporate and economic governance, which now has over 27,000 subscribers to its free newsletter. The site includes Webb-site Reports, with news, analysis and opinions on HK affairs, and Webb-site Who's Who, a database on HK organisations and people, including Webb-site Total Returns on all HK-listed stocks since 1994 and all directors and advisers of HK-listed companies since 1990, all free.

     

    He has been a member of HK's Takeovers and Mergers Panel since 2001 (a Deputy Chairman since 2013) and was an elected independent director of Hong Kong Exchanges and Clearing Ltd from 2003 to 2008. In the 1980s he was a best-selling author of games and books for the first generation of home computers. He is an Oxford maths graduate, a member of the World Economic Forum's Young Global Leaders (2005-2011), and former Chairman of Hong Kong Mensa.

     

    As a private investor in HK-listed small-caps for over 24 years, filtering for both valuation and governance quality to avoid the lemons more often than average, he has substantially out-performed the market and amassed shareholdings currently over the 5% disclosure threshold in 20 companies or "Webb-chips" as detailed on the site.

    Mr. Huen Wong

    Mr. Huen Wong is the Past President of the Law Society of Hong Kong as well as the Inter Pacific Bar Association. He is currently the Honorary Chairman of the Hong Kong International Arbitration Centre, the Chairman of the Copyright Tribunal and a Deputy Chairman of Board of Review (Inland Revenue). Mr. Wong is a member of the Appeal Tribunal of The Hong Kong Federation of Insurers and a member of the Appeal Board on Public Meetings and Processions. Mr. Wong is the Honorary Adviser of Hong Kong Business Accountants Association and Financial Reporting Council as well as the Chairman of Disciplinary Committee of the Financial Dispute Resolution Centre. He is a director of Hong Kong Aviation Security Company Limited and Hong Kong Mortgage Corporation Limited.
